Terms of Service

By accessing or using BreezyMenu ("the Service"), operated by BreezyMenu ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

We reserve the right to update these terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised terms.

BreezyMenu provides a platform for venues and food businesses to create, manage, and publish digital menus accessible via QR codes and direct links. The Service includes a web-based dashboard, hosted menu pages, and QR code generation.

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity under your account

We reserve the right to suspend or terminate accounts that violate these terms or remain inactive for an extended period.

You agree not to use the Service to:

• Upload content that is illegal, harmful, threatening, abusive, or defamatory
• Infringe on any third party's intellectual property rights
• Distribute malware, spam, or any form of unsolicited communication
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Service for any purpose other than creating and managing digital menus
• Resell or redistribute the Service without our written consent

You retain ownership of all content you upload to BreezyMenu, including menu items, images, descriptions, and branding assets ("Your Content").

By uploading Your Content, you grant us a non-exclusive, worldwide, royalty-free license to host, display, and distribute it solely for the purpose of providing the Service to you and your guests.

You are solely responsible for ensuring Your Content does not violate any laws or third-party rights. We may remove content that violates these terms without notice.

BreezyMenu offers a free plan with core features. Paid plans with additional capabilities may be offered from time to time.

Paid subscriptions are sold and processed by Lemon Squeezy, which acts as our Merchant of Record. This means Lemon Squeezy is the seller of record for your purchase and is responsible for processing payment, issuing invoices, and collecting and remitting any applicable sales tax or VAT. Your purchase is also subject to Lemon Squeezy's own terms and policies. BreezyMenu sets plan features and pricing and provides the underlying service.

For paid plans:

• Fees are billed in advance on a monthly or annual basis through Lemon Squeezy
• Fees are non-refundable except where a refund is required by applicable law or expressly stated otherwise; refund requests are handled through Lemon Squeezy
• We may change pricing with 30 days' notice — existing subscribers will be honored at their current rate until the end of their billing cycle
• Failure to complete payment may result in downgrade to the free plan or suspension of your account

We strive to keep BreezyMenu available 24/7 but do not guarantee uninterrupted service. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from downtime.

The Service, including its design, code, branding, and documentation, is owned by BreezyMenu and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

"BreezyMenu", our logo, and related marks are our trademarks. You may not use them without our prior written permission.

To the maximum extent permitted by law, BreezyMenu and its officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

You agree to indemnify and hold harmless BreezyMenu from any claims, damages, losses, or expenses (including reasonable legal fees) arising specifically from:

• Content you upload that infringes on a third party's intellectual property rights
• Your material breach of these terms
• Any fraudulent or illegal activity conducted through your account

This obligation does not apply to claims arising from BreezyMenu's own negligence or willful misconduct. We will make reasonable efforts to notify you promptly of any such claim and cooperate with your defense.

You may delete your account at any time through the dashboard. We may suspend or terminate your account if you violate these terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. We will delete your data within 30 days of account deletion, except where retention is required by law.

These terms are governed by and construed in accordance with the laws of the Republic of North Macedonia, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Skopje, North Macedonia.

Your use of BreezyMenu is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.
